Digital Template Commercial License Agreement

This Commercial License Agreement (the "Agreement") is entered into as of the date of purchase (the "Effective Date"), by and between Sapphire Planner ("Licensor") and the purchaser ("Licensee").

This Commercial License Agreement 

WHEREAS, Licensor is the creator and owner of a digital template (the "Template") and wishes to grant Licensee a license to use the Template for commercial purposes;

NOW, THEREFORE, in consideration of the mutual promises, covenants, and conditions contained herein, the parties agree as follows:

1. Grant of License

Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee a non-exclusive, non-transferable, worldwide, royalty-free license to use, reproduce, display, distribute, and create derivative works based on the digital templates provided by Licensor (the "Templates") solely for commercial purposes.

If a refund is requested by the Licensee and granted by the Licensor, the Agreement is considered revoked and the Licensee agrees to no longer use any of the digital templates for any purpose, personal or commercial.  Any continuation of use after a refund is granted will be considered a breach of the Agreement and will be subject to immediate legal action.

2. Restrictions

Licensee agrees not to:

a) Distribute or sell the Template as a standalone product, or as part of a collection of templates or designs;

b) Grant sublicenses of the Template to any third party; 

c) use the Templates in any manner that would infringe, violate, or misappropriate any third-party rights, including but not limited to copyrights, trademarks, trade secrets, or other proprietary rights;

d) Claim ownership or authorship of the Template;

e)Use the Templates for any illegal, defamatory, or immoral purposes.

3. Copyright and Ownership

Licensor retains all copyright and other intellectual property rights in and to the Template. No title to or ownership of the Template or any intellectual property rights therein is transferred to Licensee under this Agreement.

4. Limitation of Liability

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

5. Entire Agreement

This Agreement constitutes the entire understanding between the Parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, whether oral or written, between the Parties relating thereto.

Do's:

1. Do use the digital template to create your own unique digital products for sale or distribution to end-users.
2. Do modify the template as necessary to customize and create your own digital designs, ensuring that such modifications do not infringe upon the intellectual property rights of the Licensor or any third party.
3. Do ensure that your use of the digital template complies with all applicable laws and regulations.

Don'ts:

1. Don't distribute or sell the digital template as a standalone product, or as part of a collection of templates or designs.
2. Don't grant sublicenses of the digital template to any third party.
3. Don't use the digital template for any unlawful purposes or in any manner that may infringe upon the rights of the Licensor or any third party.
4. Don't claim ownership or authorship of the digital template
5. Don't share or redistribute the digital template with others who do not have a valid commercial license.
6. Don't use the digital template to create products that promote hate, discrimination, violence, or any other content that is offensive or harmful.
